Incident2026-10-07

Anthropic amended its certificate of incorporation weeks ago. It plans an IPO soon. The board has seven seats. Two are elected by common shareholders, Dario and Daniela Amodei. One is elected by voting preferred shareholders, Yasmin Razavi. Four are elected by the Long Term Benefit Trust, with one seat vacant. The CEO breaks ties. The LTBT owns one class T share. The LTBT must consent to convert class T shares to common shares. The LTBT is governed by a non-public trust agreement. The LTBT must be notified before major model or share transfers. The author expects another amendment before the IPO. The author calls for more transparency on the LTBT and Voting Agreement.

What changed

Anthropic's certificate of incorporation previously required 61% of directors or the Electing Preferred Director to approve certain matters.
